Welcome to Sortpay, a payment management platform operated by Sortpay (Pty) Ltd, a company registered in South Africa (Company Number: 2024/240542/07) with its registered office at 12 HIGGO, CRESCENT, HIGGOVALE, CAPE TOWN, WESTERN CAPE, 8001, South Africa ("Sortpay," "we," "us," or "our"). These Terms & Conditions ("Agreement") govern your use of Sortpay’s services, including invoice management and domestic payment processing within South Africa ("Services"). By using our platform ("Platform"), you agree to comply with this Agreement, our Privacy Policy, and all applicable laws.
Definitions
For clarity, the following definitions apply throughout this Agreement:
- "Account": The user account registered on Sortpay to access services.
- "Business Day": Any day excluding weekends and South African public holidays.
- "Confidential Information": Any non-public information disclosed between parties under this Agreement.
- "Nominated Account": The South African bank account you designate for payments.
- "Payment Instruction": A request submitted through the Platform to transfer funds.
- "Services": The invoice management and payment processing services provided by Sortpay.
- "User": The individual or business registered to use Sortpay's services.
Eligibility
To use Sortpay, you must:
- Be a South African resident or a business registered in South Africa.
- Provide accurate information during registration, including your Nominated Account details.
- Pass our identity verification and anti-fraud checks.
Sortpay reserves the right to refuse, suspend, or terminate accounts that do not meet these requirements or are suspected of fraudulent or unlawful activity.
Account Management
Registration
Users must provide valid and up-to-date business or personal details when creating an Account. Sortpay may require additional documentation for verification purposes.
Security Responsibilities
Users are responsible for maintaining the confidentiality of login credentials. Any unauthorized access must be reported to Sortpay immediately.
Account Suspension & Termination
Sortpay may suspend or terminate your account under the following circumstances:
- Security concerns, suspected breaches, or fraudulent activities.
- Failure to comply with this Agreement or legal obligations.
- Prolonged account inactivity without prior notification.
Payment Processing
Domestic Transfers
Sortpay enables payments within South Africa only. Users authorize Sortpay to initiate transactions from their Nominated Account to specified recipients.
Payment Accuracy & User Responsibility
Users must verify all payment details before submitting a Payment Instruction. Sortpay is not liable for errors resulting from incorrect information provided by the user.
Payment Timelines
- Payments are processed on Business Days.
- Payment requests submitted after 4:30 PM may be processed on the next Business Day.
Fees & Charges
Sortpay’s service fees are outlined on the Platform. Users will receive at least 30 days' notice of any changes to fees. Unpaid fees may result in service suspension.
User Responsibilities
Compliance & Lawful Use
Users must not use Sortpay for any unlawful purposes, including fraud or money laundering. All transactions must comply with South African financial regulations.
Information Accuracy
Users must ensure their account details, including the Nominated Account, remain up to date. Failure to update information may result in transaction delays or account suspension.
Liability & Limitations
Service Availability
While Sortpay aims to provide uninterrupted service, we do not guarantee constant availability. Temporary service outages may occur due to maintenance or technical issues.
Limitations on Liability
Sortpay is not liable for:
- Indirect, consequential, or incidental damages.
- Payment errors due to incorrect details provided by users.
- Delays or failures caused by third-party banking institutions.
Liability Cap
Sortpay’s maximum liability for any claim is limited to ZAR 30,000 per calendar year, unless otherwise required by law.
Account Closure & Termination
User-Initiated Closure
Users may close their account at any time via the Platform.
Sortpay-Initiated Termination
Sortpay may terminate an account with immediate effect for:
- Violation of this Agreement.
- Fraud, security concerns, or compliance issues.
- Any other reasonable grounds with 30 days' notice.
Privacy & Data Protection
User data is processed in accordance with our Privacy Policy (https://www.sortpay.io/privacy). Sortpay complies with South Africa’s Protection of Personal Information Act (POPIA) and other relevant data protection laws. We may share necessary information with financial institutions or regulators as required by law.
Complaints & Dispute Resolution
Complaints should be submitted via email at hello@sortpay.io. Sortpay aims to resolve complaints within 15 business days. If unresolved, users may escalate to our management and executive team by emailing accounts@sortpay.io.
Amendments & Updates
Sortpay may update these Terms & Conditions with at least 30 days' notice. Continued use of the Platform after changes constitutes acceptance.
Governing Law & Jurisdiction
This Agreement is governed by the laws of South Africa. Any disputes shall be resolved in the courts of South Africa.
